Corporate Social and Environmental Responsibility

Bersay supports companies and investors in their CSER/ESG and/or SRI approach and assists them in managing their opportunities and risks.

CSER (corporate social and environmental responsibility), ESG (environmental, social and governance) and SRI (socially responsible investment) issues are increasingly on the agenda of companies and investors.

Pressure is increasing for the adoption of new governance standards:

  • The laws are piling up: anti-bribery and corruption laws, new concepts of tax abuse, environmental obligations, duty of vigilance regarding human rights, etc.;
  • Clients, investors and partners express their expectations in terms of CSR, and those expectations become a condition for developing healthy and risk-free business relationships;
  • Competition is pushing companies to differentiate themselves in these areas: value can be created by adopting a raison d’être or the status of a “société à mission” (special-purpose company with a defined social and environmental purpose), or simply by defining their own CSR policy, tailored to their activity.

Thanks to its cross-disciplinary teams and their grasp of these issues, Bersay helps companies and investors take stock of their obligations and manage their risks and opportunities.

Area of expertise

In the context of acquisitions or divestments, or to take stock of the situation and introduce a compliance policy: measurement of risks related to social and diversity aspects, data protection, environment and climate impact, and generally compliance; assistance in identifying sensitive areas, assessing risks and control measures and, implementing necessary remedial actions.

In the context of socially responsible and impact investments: anticipation of requests, negotiation of requested commitments and follow-up.

Assessment of the situation by reference to new obligations in the area of:

  • Taxation: DAC 6 ;
  • Employment law: psycho-social risks, gender parity, diversity;
  • Environmental law: classified facilities, environmental and climate impacts;
  • Governance: risk management, alerts, stakeholder relations.

Identification of risk areas; adaptation of commitments; management of document disclosure requests; management of liability claims.

Pierre-Louis runs the Legal Clinic on Social and Environmental Responsibility and Innovation at the law school of Sciences Po, where he is an affiliated professor. He is the author of Jurisclasseur Lexis Nexis practice notes on the duty of vigilance of parent companies and principals (law of March 27th, 2017).
