Bersay’s Restructuring department assisted NEW ANDRE in the context of the takeover of the assets and activities of 1MONDE9, owner of the André brand.
The company 1MONDE9, owner since 2020 of the André brand, acquired under the plan to sell the assets and activities of the company TOO ANDRE, has been placed under court-ordered reorganization, according to a judgment of the Commercial Court of Nanterre dated February 2, 2023.
Several candidates made offers to take over the company, including OPTAKARE NV, also a shareholder, with an option to substitute the French company NEW ANDRE.
By judgment dated May 2, 2023, the Nanterre Commercial Court approved the plan to sell the assets and activities of 1MONDE9 to OPTAKARE NV, with an option to substitute the French company NEW ANDRE.
The transferee was advised by BERSAY: Juliette Bour in Restructuring, Jérôme Bersay and Anya Hristova in Corporate Law, Anne-Lise Puget and Sophie Höfler in Employment Law, Charles Koskas in Real Estate, Frédéric Lecomte, Léa Paravano and Guka Otkhmezuri in Intellectual Property (trademarks, domain names and supplier contracts).
